GEORGIA ROUND DANCE TEACHERS ASSOCIATION

CONSTITUTION

ARTICLE I
NAME

     This organization shall be known as Georgia Round Dance Teachers Association.

ARTICLE II
PURPOSES

     The purposes of this organization shall be:

               1. To promote and correlate American Round Dance activities in association with, as well as in
                   addition to, Square Dance activities i  in the State of Georgia.

               2. To foster a spirit of friendliness, cooperation and non-competitiveness among leaders and
                   participants in Round Dance activities.

               3. To encourage participation in and provide motivation and sponsorship for both area and
                   state-wide Festivals and/or Conventions, both in connection with and in addition to other events
                   of interest to dancers.

               4. To promote and sponsor an annual R/D Festival with clinics.

               5. To establish a Code of Ethics for members.

ARTICLE III
MEMBERSHIP

     A. This Association recognizes the following categories of membership.

               1. Charter Member.
               2. Full Member.
               3. Associate Member.
               4. Honorary Member.

     B. Any member may be expelled from the Association by majority vote of total voting membership.

     C. Only full members of the Association who are legal residents of Georgia or teaching a R/D club in
          Georgia shall be eligible to hold office in the Association, to vote on its affairs and, to move that the
          Association take a particular action. (See Amendment #1)

     D. Specific requirements and additional privileges are enumerated in the By-laws.

ARTICLE IV
OFFICERS

     A. The officers shall be:

               1. President
               2. President elect
               3. Secretary
               4. Treasurer

     B. Requirements and duties of each officer are enumerated in the By-laws.

ARTICLE V
ELECTIONS

     Elections shall be held annually in the manner and at the time specified in the By-laws.

ARTICLE VI
MANAGEMENT

     The management of the Association shall be vested in an Executive Board. The Executive Board shall
     consist of the elected officers and the most recent available past President.

ARTICLE VII
MEETINGS

     A. The Association shall hold at least two general meetings per year.

ARTICLE VIII
DUES

     A. The fiscal year shall be January 1 through December 31.

     B. The Association shall determine dues for all members and all members shall be required to pay dues
          as stipulated in the By-laws.

ARTICLE IX
AMENDMENTS

     Proposed amendments to this Constitution shall be submitted in writing to the Secretary of the Association.
     Voting on such amendments shall be conducted at the next regular or called meeting, provided a written
     copy of such proposed amendment shall have been mailed to the membership at least 30 days prior to the
     date of the meeting at which voting shall occur. Passage of amendments shall require a majority of the total
     voting membership. Members not in attendance may vote by mail, provided the Secretary has received the
     ballots prior to the meeting.

ARTICLE X
DISSOLUTION

     In the event of dissolution, disbandment or other termination of this Association, any assets remaining over
     and above liabilities shall be converted into cash by the Executive Board and such cash or assets shall be
     disbursed to a non-profit organization selected by that Board.

AMENDMENT #1 (November, 2004)
ARTICLE III, SECTION C

     ARTICLE III, MEMBERSHIP, SECTION C. of the Constitution changed to read:
     Only full members of the Associaiton who are legal residents of Georgia or teaching a R/D club in Georgia
     shall be eligible to hold office in the Association.

     Removed the clause: "to vote on its affairs and, to move that the Association take a particular action."
